Investments in private technology companies involve a high degree of risk. Financial, operational, and market risks facing early- and growth-stage tech companies are significant. While targeted returns are designed to reflect these risks, there is no guarantee that such returns will be achieved — and investors may lose part or all of their invested capital. The timing of any potential return is also uncertain and may take many years.
Private tech investments are highly competitive, and only a small percentage of companies succeed. Portfolio companies may encounter unexpected challenges across areas such as product development, go-to-market execution, capital access, regulatory changes, or team execution — many of which cannot be resolved despite best efforts. In addition, these businesses may require substantial follow-on funding that may not be available via institutional, venture, or public markets.
Investing in private markets is also highly illiquid. Any investment made via Stryde71 should be considered long-term in nature and may be subject to limited exit opportunities. Investors should not expect to sell their holdings at will.
Investments made via Stryde71 are typically structured through special purpose vehicles (SPVs) that hold shares in the underlying private companies. Investors do not directly own company shares, but rather hold an interest in the SPV proportionate to the allocation offered through Stryde71. The value of these interests may fluctuate or decline based on market conditions and company performance.
Should Stryde71 cease operations, there may be delays in the processing of redemptions or distributions. Leveraged investing (using credit or borrowed funds) carries higher risk and is restricted to qualified institutional investors only.
